Terms of Service

Umbral is a wellness product, not a medical device, and not a healthcare provider. It does not diagnose, treat, cure or prevent any disease. Its baselines, ranges, supplement suggestions and experiment results are educational information generated from your own device data by fixed rules. They are not medical advice, and using Umbral does not create a doctor–patient or any other healthcare relationship.

Talk to a qualified healthcare professional before starting, stopping or changing any supplement, medication, diet or exercise, especially if you are pregnant or nursing, managing a medical condition or taking medication. Never ignore or delay professional medical advice because of something you saw in Umbral. When Umbral prompts you to talk to a clinician, do so.

Umbral is not for emergencies. If you think you may have a medical emergency, call 911 or your local emergency number immediately.

Readings from consumer wearables can be inaccurate or incomplete, and Umbral's results are only as good as the data your devices send. Supplement statements have not been evaluated by the Food and Drug Administration. Results from an experiment show an association in your own data, not proof that a supplement caused a change.

You must be at least 18 years old and live in the United States to use the Service. By using it, you confirm that you meet these requirements and that you can enter into a binding agreement.

You need an account to use most of the Service. Give us accurate information, keep your sign-in credentials secure, and tell us promptly at info@umbral.health if you believe someone has accessed your account without permission. You are responsible for activity under your account. An account is for one person and may not be shared.

Umbral works by connecting to wearables and health apps you already use, such as WHOOP, Oura, Apple Health and the devices available through our connection partner Junction. When you connect one, you authorize us to retrieve your data from it as described in our Privacy Policy. You can revoke that access at any time in the device's app or by contacting us.

Those devices and services are provided by third parties under their own terms and privacy policies. We do not control them and are not responsible for their availability, accuracy or conduct. A provider may change or end its connection at any time, which may limit what Umbral can show you. Device and brand names are used only to identify compatible products; their use does not imply endorsement by or partnership with those companies.

Free plan. An account, your connected devices, your baselines and ranges, the evidence library, clinician prompts and your first supplement suggestion are free.

Paid plans. Prices are shown on our pricing page and at checkout, in US dollars, before you pay. Taxes are added where required. Payments are processed by our payment processor.

• Monthly is a subscription. It renews automatically every month and your payment method is charged the then-current monthly price until you cancel. You can cancel at any time by emailing info@umbral.health, or through your account once self-service cancellation is available. Cancellation takes effect at the end of the current billing month; you keep paid features until then, and you will not be charged again. We do not refund partial months.
• Life access is a single payment with no renewal. It gives you the paid features for as long as we operate the Service. It is not a promise about any particular length of time. If we ever discontinue the Service, we will give you at least 30 days' notice and a way to get a copy of your data.

Refunds. If you are not satisfied, you can request a full refund of a Life access purchase, or of your first monthly payment, within 24 hours of paying by emailing info@umbral.health. Other payments are non-refundable except where the law requires otherwise.

Price changes. We may change prices for future periods. We will tell you at least 30 days before a new price applies to your monthly subscription, and you can cancel before then. Price changes never affect a Life access purchase you have already made.

If you stop paying, your account returns to the free plan and your history stays in your account unless you ask us to delete it.

Some supplement pages link to products sold by third parties such as Amazon, and we may earn a commission if you buy through those links. We do not sell supplements and are not responsible for products, prices, orders, shipping or returns handled by those sellers. Commissions do not change which supplements Umbral suggests or how it grades the evidence.

You agree not to:

• use the Service for anyone other than yourself, or to make decisions about another person's health, employment, insurance or eligibility for anything;
• connect a device or account that you are not authorized to use;
• access, scrape or copy the Service or its data by automated means, or interfere with its security or operation;
• reverse engineer the Service, except where the law expressly allows it;
• resell, sublicense or commercially exploit the Service or its content; or
• use the Service in violation of any law.

Your data is yours. You keep all rights to the data from your devices and the information you enter. You give us permission to process it only to provide the Service to you, as described in our Privacy Policy. You can ask us for a copy or to delete it at any time.

Our content. The Service, including its software, design, text, evidence summaries and graphics, belongs to Umbral and its licensors and is protected by law. We give you a personal, non-exclusive, non-transferable, revocable license to use the Service for your own, non-commercial purposes under these Terms.

Feedback. If you send us ideas or suggestions, we may use them without any obligation to you.

You can stop using the Service and ask us to delete your account at any time by emailing info@umbral.health. We may suspend or close your account if you seriously or repeatedly break these Terms, if required by law, or to protect the Service or other users. Where reasonable, we will tell you why and give you a chance to fix the problem first. If we close your account without cause, we will refund the unused part of any monthly payment and, for Life access, a pro-rated amount as the law requires. Sections that by their nature should survive (such as disclaimers, limits of liability and dispute terms) continue after your account ends.

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE". TO THE FULLEST EXTENT THE LAW ALLOWS, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED OR ERROR-FREE, THAT DEVICE DATA WILL BE ACCURATE OR COMPLETE, OR THAT ANY SUPPLEMENT OR EXPERIMENT WILL PRODUCE ANY RESULT.

TO THE FULLEST EXTENT THE LAW ALLOWS, UMBRAL AND ITS MEMBERS, MANAGERS, EMPLOYEES AND SUPPLIERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF DATA, PROFITS OR GOODWILL, ARISING FROM OR RELATED TO THE SERVICE OR THESE TERMS. OUR TOTAL LIABILITY FOR ANY CLAIM RELATED TO THE SERVICE IS LIMITED TO THE GREATER OF THE AMOUNT YOU PAID US IN THE 12 MONTHS BEFORE THE CLAIM AROSE OR US$100.

Some states do not allow certain disclaimers or limits of liability, so some of the above may not apply to you. Nothing in these Terms limits liability that cannot be limited by law, including for gross negligence, willful misconduct, or death or personal injury caused by our negligence.

To the extent the law allows, you agree to defend and hold Umbral harmless from third-party claims arising from your misuse of the Service or your violation of these Terms or the law.

These Terms are governed by the laws of the State of Delaware and applicable federal law, without regard to conflict-of-law rules. Before filing a claim, contact us at info@umbral.health and give us 30 days to try to resolve it informally. If we cannot, either of us may bring the claim in the state or federal courts located in Delaware, or in a small-claims court where you live if the claim qualifies. Nothing here takes away rights you have under the consumer protection laws of the state where you live.

We may update these Terms. We will post the new version on this page and update the effective date. If a change is material, we will tell you by email or in the Service at least 30 days before it takes effect. If you keep using the Service after that, the new Terms apply; if you do not agree, you can stop using the Service and cancel.

These Terms, together with our Privacy Policy and Consumer Health Data Privacy Policy, are the entire agreement between you and Umbral about the Service. If any part is found unenforceable, the rest remains in effect. Our not enforcing a provision is not a waiver of it. You may not transfer these Terms without our consent; we may transfer them in a merger, acquisition or sale of assets with notice to you. If there is any conflict between the English version of these Terms and a translation, the English version controls.
